These Terms of Service govern your use of www.labelstitchstudio.com and your purchase of products or services from Label Stitch Studio, operated by Label XP LLC (“Label Stitch Studio,” “we,” “us” or “our”).

By visiting our website, placing an order or using our services, you agree to these Terms of Service, along with our Refund Policy, Shipping Policy and Privacy Policy. If you do not agree with these terms, please do not use our website or services.

1. Online Store Terms

You must be at least the age of majority in your state or country of residence to place an order. If you are under the age of majority, you may use this website only with the involvement of a parent or legal guardian.

You may not use our products, website or services for any unlawful, fraudulent or unauthorized purpose.

2. Products and Services

Label Stitch Studio provides custom embroidery, printing, personalization and related products and services.

Because many of our products are customized, final colors, sizing, placement and appearance may vary slightly from online images, digital previews or proofs. Computer and mobile screens may display colors differently from physical thread, ink and materials.

We reserve the right to limit product quantities, discontinue products, decline customization requests or modify available colors, materials and product options without prior notice.

3. Pricing and Payment

All prices are displayed in U.S. dollars unless otherwise stated. Prices may change without notice, but changes will not affect orders that have already been accepted and paid.

Product prices may not include shipping, taxes, rush-service charges, artwork preparation, digitizing or customization exceeding the specifications included in the listed price. Applicable charges will be disclosed before payment whenever they can be determined at checkout.

If artwork complexity, stitch count or another production requirement creates an additional charge after artwork review, we will contact you for approval before proceeding.

We reserve the right to correct pricing, product-description or calculation errors. If an error affects an order already placed, we may contact you to approve the corrected amount or cancel and refund the affected order.

4. Orders

Submitting an order does not guarantee acceptance. We may decline or cancel an order because of product availability, suspected fraud, pricing errors, production limitations, prohibited artwork or other reasonable business concerns.

If we cancel a paid order before production, we will refund the amount paid for the canceled portion.

You are responsible for providing complete and accurate billing, shipping, contact and customization information. Please notify us immediately if any information needs to be corrected.

5. Customization and Artwork

By submitting a logo, photograph, design, trademark, name, text or other content, you confirm that:

You own the content or have permission to use and reproduce it.
Producing the requested item will not violate another party’s copyright, trademark, privacy or other rights.
The content does not violate any applicable law.

You grant Label Stitch Studio a limited license to use, reproduce, resize, adjust, digitize and otherwise prepare the submitted content solely as necessary to review, proof, produce and fulfill your order.

We will not use customer artwork for advertising or promotional purposes without permission.

6. Prohibited Content

We may refuse to produce artwork or content that we reasonably believe:

Infringes intellectual-property rights
Is unlawful, threatening, defamatory or fraudulent
Promotes hatred, harassment or violence
Contains sexually exploitative or otherwise prohibited material
Misrepresents an affiliation with another person, organization or brand

If an order is refused before production, eligible payments will be refunded, excluding any artwork or digitizing services already completed.

7. Digital Proofs and Approval

When a digital proof is provided, you are responsible for carefully reviewing:

Spelling and wording
Artwork and design
Product color
Thread or print colors
Placement and approximate size
Quantities and customization details

Your approval authorizes Label Stitch Studio to begin production. After approval, changes, cancellations and refunds are generally unavailable.

Production timelines begin after approval is received. Delayed approval or requested revisions may delay production and delivery.

Online personalization previews are visual guides only. Final production size and placement may be adjusted slightly to achieve the best embroidery or print quality.

8. Digitizing and Production Files

You retain ownership of the original artwork you provide.

Unless otherwise agreed in writing, digitized embroidery files, production files, stitch files, layouts and other production-ready files created by Label Stitch Studio remain the property of Label Stitch Studio. These files are not automatically included with the purchase of a finished product.

Production files may be available for purchase or transfer under a separate written agreement.

9. Custom-Production Variations

Minor variations are normal in custom production. The following are not ordinarily considered defects:

Slight differences in thread, ink or garment color
Minor variations in embroidery or print placement
Reasonable differences between a digital preview and a finished product
Manufacturer sizing or measurement tolerances
Adjustments needed to preserve artwork proportions or production quality

10. Returns, Refunds and Cancellations

Custom and personalized products are generally final sale.

Returns, refunds, replacements and cancellations are governed by our separately published Refund, Return and Cancellation Policy. That policy is incorporated into these Terms of Service.

Nothing in these terms limits consumer rights that cannot legally be waived.

11. Production and Shipping

Production estimates begin after artwork approval, payment and all required order information have been received.

Shipping time is additional to production time. Delivery dates provided by Label Stitch Studio or a shipping carrier are estimates unless we expressly guarantee a date in writing.

We are not responsible for delays caused by incomplete information, delayed proof approval, unavailable products, carrier disruptions, weather, holidays or other circumstances outside our reasonable control.

Please contact us before ordering if you have a firm event or delivery deadline. Rush service is available only when confirmed in writing.

12. Website Accuracy and Availability

We make reasonable efforts to keep product descriptions, pricing, availability and website information accurate. We do not guarantee that the website will always be uninterrupted, error-free or completely current.

We may modify, suspend or discontinue any part of the website or service when reasonably necessary.

13. Third-Party Services and Links

Our store is hosted by Shopify and may use third-party applications, payment processors, shipping carriers and service providers.

Third-party websites and services are governed by their own terms and privacy policies. We are not responsible for third-party content or services outside our control.

14. Intellectual Property

The Label Stitch Studio name, logo, website content, graphics, photographs, text and original designs are owned by or licensed to Label Stitch Studio and may not be copied, reproduced, sold or used commercially without written permission.

Customer-owned logos and artwork remain the property of their respective owners.

15. Disclaimer of Warranties

To the fullest extent permitted by law, our website is provided on an “as available” basis. We do not guarantee that website access will be uninterrupted or that every error will be corrected immediately.

This section does not exclude warranties or consumer protections that cannot legally be excluded.

16. Limitation of Liability

To the fullest extent permitted by law, Label Stitch Studio and Label XP LLC will not be liable for indirect, incidental, special or consequential damages arising from the use of our website, products or services.

For claims relating to an order, our total liability will not exceed the amount paid for the affected product or service, except where applicable law requires otherwise.

17. Intellectual-Property Claims

You agree to be responsible for claims, losses or reasonable expenses arising from artwork or content you submitted without the necessary ownership or permission.

This obligation does not apply to artwork independently created or supplied by Label Stitch Studio.

18. Privacy

Your submission of personal information through the website is governed by our Privacy Policy. Payment information is processed through Shopify or authorized payment providers and is subject to their applicable terms and privacy practices.

19. Governing Law

These Terms of Service are governed by the laws of the State of California, without regard to conflict-of-law principles.

Where legally permitted, disputes that cannot be resolved informally will be brought in the appropriate state or federal courts located in Los Angeles County, California.

Before filing a claim, both parties agree to make a reasonable effort to resolve the matter by contacting the other party and describing the concern and requested resolution.

20. Severability

If any provision of these terms is found unenforceable, the remaining provisions will continue in effect. The unenforceable provision will be limited or modified only as much as necessary to make it enforceable.
